Charles Chau is an Of Counsel of Morrison & Foerster’s Hong Kong office. He specializes in advising on mergers and acquisitions, listings and public offerings, capital markets transactions, securities regulatory compliance, joint ventures, and other commercial transactions across Hong Kong, mainland China, and the Asian region.
Mr. Chau has extensive experience across a wide variety of industry sectors including banking and financial services, property development, retail, and manufacturing. He regularly publishes articles on company and securities laws. He speaks fluent English, Cantonese, and Mandarin.
He is a qualified solicitor in Hong Kong. He holds bachelor of laws degree from the University of Hong Kong and master of laws degree from the University of Cambridge.

- Advising Sino-Ocean Land Holdings Limited on the US$1.53 billion IPO and listing of shares on the Hong Kong Stock Exchange (involving a Hong Kong public offering and a 144A international placing, with Goldman Sachs (Asia) L.L.C. and Morgan Stanley Asia Limited as joint sponsors).
- Advising Kingsoft Corporation Limited on the US$115 million IPO and listing of shares on the Hong Kong Stock Exchange (involving a Hong Kong public offering and a 144A international placing, with Deutsche Bank AG, Hong Kong Branch and Lehman Brothers Asia Limited as joint sponsors).
- Advising China International Capital Corporation Limited, CITIC Securities & Co., Ltd., Citigroup Global Markets Asia Limited, The Hongkong and Shanghai Banking Corporation Limited and Lehman Brothers Asia Limited (as global coordinators) on the US$6.2 billion IPO and listing of shares of China CITIC Bank Corporation Limited on the Hong Kong Stock Exchange (involving a Hong Kong public offering, a 144A international placing and a concurrent listing in Shanghai).
- Advising a leading PRC department store chain on the proposed IPO and listing of shares on the Hong Kong Stock Exchange (involving a Hong Kong public offering and a 144A international placing).
- Advising two leading investment banks (as global coordinators) on the proposed IPO and listing of shares of a leading foreign-invested beauty products manufacturer and distributor in China on the Hong Kong Stock Exchange (involving a Hong Kong public offering and an 144A international placing)
- Advising Morgan Stanley Dean Witter Asia Limited and Cazenove Asia Limited (as joint global coordinators) on the US$152 million IPO and listing of China Paradise Electronics Retail Limited (Stock Code: 503) on the Hong Kong Stock Exchange (involving a Hong Kong public offering and a 144A international placing).
